  1. Promotion Timing: The Batman x Little Caesars® Crack The Riddle Challenge (the “Promotion”) begins 10:00:00 a.m. Eastern Time (“ET”) on January 31, 2022 and ends at 11:59:59 p.m. ET on March 20, 2022 (the “Promotion Period”), which includes seven (7) weekly entry periods, defined in the chart below (each a “Weekly Entry Period”).
  2. Eligibility: The Promotion is open only to legal residents of Canada (excluding Quebec) who are 18 years of age or older and the age of majority in their respective jurisdictions of permanent residence. Employees of Little Caesar Enterprises, Inc. (“Sponsor”), Don Jagoda Associates, Inc. (“Administrator“), Warner Bros. Entertainment Canada Inc. (“Warner Bros.”) and any of their respective parents, affiliates, subsidiaries, franchisees, mandataries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, web site providers, web masters, and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household (whether or not related) (collectively with Sponsor and Administrator, the “Promotion Entities”) are not eligible to enter or win. Participation constitutes entrant's full and unconditional agreement to be legally bound by these Official Rules and to Sponsor's and/or Administrator's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. Sponsor reserves the right to verify the eligibility of winners.
  3. How to Enter: There are two (2) ways to access the Website as follows:
    1. Purchase Method of Accessing the Website: During the Promotion Period, you can activate the QR code on specially marked Little Caesars pizza boxes (while supplies last) to visit https://www.littlecaesarspartnershipcanada.com/thebatman/ca (the “Website”) where you will be able to select “Canada” from the country/region drop down menu and from there, click the “Enter Sweepstakes” button and follow the instructions to complete the registration Form and answer the weekly Batman riddle (the “Riddle”) to receive one (1) entry (the “Entry”) into the applicable Weekly Entry Period’s random drawing and one (1) Entry into each of the Grand, First, Second and Third Prize drawings. You may also receive Bonus Entries as described below.
    2. No Purchase Method of Accessing the Website: To enter without making a purchase, you can visit https://information.littlecaesars.com/en-ca/promo/the-batman/ to read through the rules and locate the Website URL to access the Website. On the Website, you will follow the prompts to select “Canada” from the country/region drop down menu and from there, click the “Enter Sweepstakes” button and follow the instructions to complete and submit the registration Form and answer the weekly Riddle, to receive one (1) Entry by following all entry instructions included in a) above into the applicable Weekly Entry Period’s random drawing, one (1) entry into each of the Grand, First, Second and Third Prize drawings. You may also receive Bonus Entries as described below.
The person uploading the Entry will be deemed the entrant (the “Entrant”). Use of any automated or computer system to participate online is prohibited and will result in disqualification. Normal Internet/phone access and data/usage charges imposed by your online/phone service may apply.
Bonus Entries:
If you answer the Riddle correctly, you will also receive ten (10) Bonus Entries (“Bonus Entries”) into the corresponding Weekly Entry Period’s random drawing, as well as ten (10) Bonus Entries into each of the Grand, First, Second and Third Prize Drawings.
There is a limit of one (1) Entry per Weekly Entry Period and ten (10) Bonus Entries per Weekly Entry Period. Entries and Bonus Entries are collectively hereinafter referred to as “Promotion Entries”. The maximum number of Promotion Entries an Entrant can earn during the Promotion Period is seventy-seven (77) – which is only possible if the Entrant earns the maximum allowable eleven (11) Promotion Entries per Weekly Entry Period.
  1. Random Drawings: The specific amount (as broken out in Rule #5 below) of Weekly, Grand, First, Second, and Third Prize winners will be selected on or about the Random Drawing Dates indicated in the chart below, from among all eligible Promotion Entries received for each Weekly Entry Period’s drawing and the Grand/First/Second/Third Prize drawing from among all eligible Promotion Entries received for each applicable drawing. Odds of winning depend upon the number of eligible Promotion Entries received for each applicable drawing. Drawings will be conducted by Administrator, an independent judging organization, in Oakville, Ontario, whose decisions are final and binding on all matters relating to this Promotion.

  1. Prizes and Approximate Retail Values (“ARV”):
    • Four (4) Grand Prizes of The Batman Movie Bundle: Each Grand Prize will consist of one (1) private movie screening of The Batman (the “Picture”) for the winner and up to ten (10) people (ARV: $850 CAD each); a $250 CAD Little Caesars gift card; one (1) Batman Movie hat; Sponsor-selected Little Caesars merchandise; one (1) Extra Large Lounge Set; one (1) Extra Large Thumbs-Up Peek-A-Boo T-Shirt; one (1) pair of Go Crazy Socks; and one (1) Pizza Backpack. Grand Prize must be used after March 21, 2022 (as specified by Sponsor/theatre) once the Picture has been released to the public and no later than April 17, 2022.Sponsor will determine the theatre location and the date and time of screening, in its sole and absolute discretion. The winner and his/her/their guests are solely responsible for all other expenses not specifically set forth herein, including, but not limited to, concession items at the theatre and transportation to and from the screening. In the event the winner and/or his/her/their guests engage in behaviour that (as determined by Sponsor or any prize provider in its or their sole and absolute discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the screening experience early. Grand Prizes are subject to the applicable theatre’s terms and conditions and any applicable federal, provincial/territorial and local health and safety requirements (and winner and guests must agree to accept any required COVID Protocols in order to attend the screening). (ARV: $1,200 CAD each).
    • Two (2) First Prizes: A Sponsor-selected prop replica from the Picture (ARV: $100 CAD each).
    • Eighteen (18) Second Prizes: A signed poster of the Picture (ARV: $20 CAD each). Specific signature is Sponsor-specified.
    • Fifty (50) Third Prizes: A Batman hat (ARV: $10 CAD each).
    • Thirteen (13) Weekly Prizes per week, as follows:

    The total ARV of all Prizes is CAD$8,310.

    Limit one (1) Weekly Prize per person/email address/family/household for the entire Promotion Period. Limit one (1) Grand, First, Second or Third Prize per person/email address/family/household. A Weekly Prize winner is eligible to win a Grand, First, Second or Third Prize. Weekly Prizes will be fulfilled via email/email code within six-eight weeks after the conclusion of winner verification (as stated in Rule #7 below). Second and Third Prizes will be delivered via mail within six-eight weeks after the conclusion of winner verification (as stated in Rule #7 below). Grand Prize winners will be contacted by the Administrator via email or telephone to coordinate the screening for the Picture and will receive the other elements of the Grand Prize via courier. No transfer, substitution or cash equivalent for prize will be permitted, except at the sole discretion of the Sponsor for any reason and, in such circumstance, an alternate prize of equal value will be awarded and the Sponsor’s obligation to the winners will be fulfilled, and no other additional compensation will be provided. All prizes are provided “as is” without warranty of any kind. No responsibility or liability is assumed for damages, losses or injury resulting from acceptance or use of the prize.
    Acceptance of a prize constitutes permission for the Sponsor and its agencies to use winners’ names and/or likenesses for purposes of advertising and trade without further compensation, unless prohibited by law.
    Potential winners must correctly answer a mathematical skill-testing question without aid of mechanical device or otherwise, to be administered by the Administrator at a time and in a manner to be determined by the Administrator. Failure to correctly answer the skill-testing question will result in forfeiture of the prize, and an alternate potential winner will be randomly selected from the same pool of entrants, time-permitting.
  2. Winner Notification: Potential Grand and First Prize winners will be required to sign and return, via email/email link, a Declaration of Eligibility, Liability Release, Assignment of Rights and Publicity Release (except where prohibited by law), within forty eight (48) hours (including weekends) of notification attempt or the prize will be forfeited and an alternate Prize winner may be selected, time-permitting. Potential Weekly, Second Prize and Third winners will be notified via email and may be required to confirm their eligibility and mailing address within forty-eight (48) hours (including weekends) of notification attempt or the prize will be forfeited, and an alternate Prize winner (as applicable) may be selected. Return of any prize or prize notification as undeliverable may result in disqualification and alternate selection or if any potential winner rejects his/her/their prize or in the event of noncompliance with these Promotion rules and requirements, such prize will be forfeited, and no compensation will be provided. Sponsor is not responsible if any Prize cannot be awarded due to interruptions due to acts of God, acts of war, natural disasters, weather, epidemics, pandemics or acts of terrorism. Sponsor is not responsible for postponement or cancellation of the Picture’s release. Sponsor is not responsible for any delay or cancellation of the Picture’s release due to unforeseen circumstances, or those outside of Sponsor’s control. No cash redemption of any Prize, except at Sponsor’s sole discretion.
  3. General Rules: By participating in the Promotion, Entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Administrator. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Entries become the property of the Sponsor. Released Parties (defined below) are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Website or the Promotion or by any human error which may occur in the processing of the Promotion Entries in the Promotion or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with the Website or Promotion. In the event of a dispute as to any Promotion Entry, the authorized account holder of the email address used to enter will be deemed to be the Entrant. “Authorized account holder” of an email address is defined as the natural person who is assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Sponsor, and/or Administrator (as identified in these Official Rules) are not responsible for the failure of any email or Promotion Entry to be received by Sponsor/Administrator on account of technical problems or congestion on the internet or at any website. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Promotion or Website; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to undermine the legitimate operation of the Promotion or Website may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, epidemics, pandemics, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion or Website, then the Sponsor reserves the right at its sole discretion to cancel the Promotion and select the winners in random drawings from among all eligible Promotion Entries received for each drawing (as detailed above) prior to cancellation. By entering the Promotion, you hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents.
  4. Release and Limitations of Liability: By participating in the Promotion, the Entrant and winners agree that Sponsor, Administrator, Warner Bros., the other Promotion Entities and their respective parents, subsidiaries, affiliated companies, agents, retailers, advertising and Promotion agencies, and all of their respective shareholders, officers, directors, employees and assigns, members, representatives and agents (the “Released Parties”), will have no liability whatsoever for, and will be held harmless by Entrant for any liability for any bodily injury, loss, cost or damages of any kind to persons, including death and property, damages sustained due in whole or in part, directly or indirectly, from Promotion Entry creation, the acceptance, possession, use or misuse of the prize or parts thereof, if applicable or participation in the Promotion or participation in any Promotion or related activity. Entrants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Released Parties be liable for attorneys’ fees. Entrants waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. Entrants and winners also agree that to release and hold harmless the Released Parties from and against any claim or cause of action arising out of receipt or use of any prize, including, but not limited to any food, nut and dairy allergies.
  5. Disputes: Entrants/winners agree that to the fullest extent permitted by law: (a) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or the prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or provincial court located in the province of Ontario in Canada ; Entrants/winners submit to sole and exclusive personal jurisdiction to said courts in the province of Ontario in Canada for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees; and (c) under no circumstances will entrants/winners be permitted to obtain awards for and entrants/winners hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants/winners or the Promotion Entities or Released Parties in connection with this Promotion shall be governed by, and construed in accordance with, the laws of the province of Ontario in Canada, without giving effect to any choice of law or conflict of law rules of provisions (whether of the province of Ontario, Canada, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the province of Ontario in Canada.
  6. Data Collection/Privacy: Sponsor collects personal information from Entrants when they enter the Promotion (and for when they may be selected as a winner of the Promotion) for use in administration of the Promotion. Except as otherwise contemplated in these Official Rules, personal information collected in connection with the Promotion will be used in accordance with the online privacy policy of the Sponsor. Entrants should be aware that Sponsor may be collecting nonpublic, personally-identifiable information about them in connection with the operation of the Promotion. Entrants’ information will be transferred to the United States.
