The following terms and conditions (these “Terms and Conditions”) contain important information regarding Little Caesars Challenges (the “Program”) sponsored by Little Caesar Enterprises, Inc. (“Sponsor” or “Little Caesars”). Please read the following Terms and Conditions carefully. These Terms and Conditions are a binding agreement between you and Sponsor and will govern your participation in this Program and any and all Program offers.
BY PARTICIPATING IN THE PROGRAM (WHICH IS PART OF THE “SERVICE” DEFINED IN THE LCE TERMS OF SERVICE), YOU AGREE TO THESE TERMS AND CONDITIONS AND THE LITTLE CAESARS TERMS OF SERVICE. THESE TERMS AND CONDITIONS SHALL CONSTITUTE “ADDITIONAL TERMS” AS DEFINED IN LITTLE CAESARS’ TERMS OF SERVICE AND ARE INCORPORATED BY REFERENCE AND MADE A PART OF THE TERMS OF SERVICE.
PROGRAM DESCRIPTION: Being eligible for the Program entitles guests of Little Caesars (“Guests” or “you”) to earn certain Program rewards, perks and other benefits (collectively, “Rewards”) in return for completing challenges (“Challenges”) offered by Sponsor to Guests from time to time.
CHANGES: The Program and Rewards may change from time to time as determined by Sponsor in its sole discretion. Sponsor reserves the right to modify these Terms and Conditions at any time, without notice to you, so it is important to check the Terms and Conditions periodically. Participation in the Program or any Challenges and/or redemption of Rewards is considered acceptance of these Terms and Conditions and any modified terms included therein. Sponsor may, in its sole discretion, cancel, change, suspend or modify any aspect of the Program, Challenge and/or any Reward at any time, including the availability of any Reward, without notice.
PROGRAM PERIOD: Program begins on September 2, 2024 and ends when terminated, suspended, modified, renewed and/or converted to another program by Sponsor, as determined by Sponsor is its sole discretion (“Program Period”).
ELIGIBILITY: To be eligible for the Program, you must be (i) a legal resident of the fifty (50) United States or the District of Columbia, (ii) at least 18 years of age or older, and (iii) have an account (“Account”) on the Little Caesars App. If you do not have an account on the Little Caesars App, you must download the Little Caesars App and create an Account in order to participate in the Program. To download the Little Caesars App, you must have a compatible mobile device (iOS or Android). If you already have an Account on the Little Caesars App, you do not need to create another one. Limit one (1) Little Caesars App account per person at any time. The Program is provided to individuals only for their personal use. Corporations, associations or other groups may not participate in the Program.
CHALLENGES: You can earn Rewards by participating in Challenges that are offered by Sponsor from time to time. Sponsor will offer these Challenges via push notifications and/or in-app or other messaging as determined by Sponsor in its sole discretion (each a “Challenge Notification”). You must be logged on to your Account to receive a Challenge Notification. The Challenges also will appear on the Challenge tab of the Little Caesars App. To participate in a Challenge, you must go to the Challenge tab on the Little Caesars app and affirmatively accept the Challenge by selecting “Accept the Challenge” or a button with similar language. Specific Challenges may only be offered to selected Guests based on a criteria determined by Sponsor in its sole discretion and may not be available to all Guests.
EARNING REWARDS: Each Challenge Notification will include a Challenge message and/or card (“Challenge Card”) which sets forth the terms and conditions of the Challenge. To earn a Reward, you must complete all of the necessary steps for that specific Challenge as set forth in the Challenge Card by the end date included in the Challenge Card. Guests can participate in any available Challenges at a time and can participate in multiple Challenges at the same time. You may complete a Challenge and earn a Reward by purchasing certain menu items and/or reaching certain spend levels (each a “Qualifying Purchase”) at participating Little Caesars restaurants in the fifty (50) United States (and D.C.) (each a “Participating Restaurant”), excluding casinos, stadiums, and Little Caesars Express locations, via the Little Caesars App in accordance with these Terms and Conditions. You cannot earn Rewards for in-store purchases or purchases made on the Little Caesars website (https://littlecaesars.com/en-us/) or through third-party web sites and platforms (e.g., DoorDash, Uber Eats, GrubHub, Postmates, etc.). All Qualifying Purchases must be made at a Participating Restaurant through the Little Caesars App. Purchases made for the following items are not Qualifying Purchases and cannot be used to complete any Challenges:
· Taxes
· Tips
· Delivery fees, service fees, small order fees and/or any other fees or charges*
· Gift cards
· Voided, returned or refunded purchases (and any Rewards earned through such purchases will be deducted from your Account).
*DELIVERY AVAILABLE FROMPARTICIPATING RESTAURANTS ONLY WITH ONLINE ORDERS. DELIVERY FEES APPLY. SMALL ORDER FEE FOR DELIVERY ORDERS LESS THAN $12.
REWARDS: Unless otherwise provided in the Challenge Card, Rewards will be delivered in the form of promotional codes (“Promo Codes”) to be applied to future transactions at Participating Restaurants. Approximately twenty-four (24) hours after successfully completing a Challenge, Sponsor will notify you of your Reward (“Rewards Notice”) and your Reward will appear under the Reward tab of your Little Caesars App. Upon redemption of your Reward, your Reward will be removed from your Account. Sponsor may change Rewards at any time, and from time to time, without notice.
REWARD REDEMPTION: You must redeem the Reward prior to the expiration date that is set forth in the Rewards Notice. Rewards can only be redeemed at Participating Restaurants on orders made through the Little Caesars App in accordance with these Terms and Conditions. You cannot redeem Rewards through in-store purchases, purchases made on the Little Caesars web site (https://littlecaesars.com/en-us/)or purchases made through third-party web sites and platforms (e.g., DoorDash, Uber Eats, GrubHub, Postmates etc.). All redemptions must be made at a Participating Restaurant through the Little Caesars App. To redeem your Reward on your App, tap on the Reward and the “Apply Code & Order” button to move your Reward to your cart at checkout. Once the Reward is redeemed, the Reward will disappear from the Little Caesars App. Rewards can only be redeemed in a single transaction. If a Reward is not fully redeemed during a single transaction, the remaining balance will be forfeited. Unless otherwise stated in the Rewards Notice, Rewards cannot be applied to:
· Taxes
· Tips
· Delivery fees, service fees, small order fees and/or any other fees or charges*
· Gift cards
Valid Promo Codes must be entered at checkout in order to redeem Rewards. Promo Codes cannot be combined with any other offers. Only one (1) Reward can be redeemed at a time.
REWARD CONDITIONS: The Program and/or the Rewards are void where prohibited by law. Rewards are non-transferable, non-refundable, have no cash value, and cannot be redeemed for cash or gift cards. Rewards have no value outside the Program. You may not assign or transfer any Rewards. Rewards may be taxable, depending on the value of the item and the federal, state, and local tax laws that may apply. You are solely responsible for reporting such items on your tax returns and paying any associated tax liability. Sponsor shall not withhold or pay any amounts for federal, state or municipal income tax, social security, unemployment or worker’s compensation. Nothing in these Terms and Conditions implies any employment or joint venture relationship between you and Sponsor. Sponsor makes no warranty in any respect as to any Rewards, merchandise or service available within the Program.
COMMUNICATIONS WITH YOU: By participating in the Program, you are subject to receive push notifications and emails (if you opt-in to receive commercial marketing communications from Sponsor) regarding the Program from Sponsor. You may unsubscribe from email or push notifications by adjusting the settings on your mobile device. If you opt-in to receive commercial marketing communications from Sponsor, Sponsor will send you commercial marketing communications in addition to any Program marketing communications. If, at any time, you decide that you do not want to receive any commercial marketing communications from Sponsor, you can unsubscribe from receiving such commercial marketing communications by clicking on the “UNSUBSCRIBE” link in any such e-mail, or in the Little Caesars app or on www.littlecaesars.com. You must opt-out separately from commercial emails from third parties to which you may have directed us to send your personal information, directly with such third parties, and agree that Sponsor is not responsible for such third parties’ practices, policies, acts or omissions.
CANCELLATION: You may cancel your participation in this Program at any time by deleting your Account or choosing not to accept any future Challenges.
TERMINATION/SUSPENSION: Sponsor may, in its sole discretion, cancel, terminate, change, suspend, or modify any aspect of the Program and/or any Reward at any time, including the availability of this Program or any Reward, without notice. Sponsor may, in its sole discretion, terminate or suspend any Guest’s participation in the Program for breach of these Terms and Conditions, or for taking any actions that are inconsistent with the intent of these Terms and Conditions. Sponsor reserves the right at its sole discretion to prohibit any Guest from participating in any aspect of the Program if Sponsor deems or suspects that such Guest has engaged in or has attempted to engage in any of the following: (a) acting in violation of these Terms and Conditions; or (b) damaging, tampering with or corrupting the operation of the Program or the Little Caesars App; or (c) acting with intent to annoy, harass or abuse any other person; or (d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity; or (e) activity deemed in the sole discretion of Sponsor to be generally inconsistent with the intended operation of the Program. Any decision Sponsor makes relating to termination or suspension of any Guest’s participation in the Program shall be final and binding in all respects. Sponsor shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Terms and Conditions or intent of these Terms and Conditions.
PROGRAM CONDITIONS: Sponsor and Participating Restaurants reserve the right in their sole discretion to not redeem or fulfill a Reward to any individual they find to be engaging in fraud or undermining the legitimate operation of this Program or acting in an abusive, fraudulent, deceptive or disruptive manner or in violation of these Terms and Conditions. Any attempt by any person to undermine the legitimate operation of the Program may be a violation of criminal and civil law and, should such an attempt be made, Sponsor and Participating Restaurants reserve the right to seek damages from any such person to the fullest extent permitted by law. Each Participating Restaurant reserves the right to make the final decision with respect the redemption or fulfillment of any Reward, in its sole discretion. Not all Little Caesars restaurants or franchisees participate in this Program and Released Parties cannot be held responsible for this decision.
Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Program (in its sole discretion) and without prior notice or obligation in the event of: (i) any virus, bugs, non-authorized human intervention, cheating, fraud, epidemics, pandemics, or other causes beyond the control of the Sponsor corruptor affect the administration, security, fairness or proper conduct of the Program; (ii) any error, technical problem, fraud or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Program and/or any Challenges, Rewards or Promo Codes as contemplated by these Terms and Conditions; and/or (iii) any accident, printing, administrative or other error or any kind. Sponsor is not responsible for late, non-compliant or misdirected requests.
RELEASE: By participating, you agree to release and hold harmless Sponsor, its franchisees, any Participating Restaurants, and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, the “Released Parties”), from and against any liability, loss, claims or causes of action arising out of your participation in the Program and/or receipt or use of the Rewards and/or any Promo Codes, including, but not limited to: (a) unauthorized human intervention in the Program; (b) technical, printing, hardware, software, mobile, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet or ISP availability, unauthorized human intervention, traffic congestion or failed, incomplete, garbled, jumbled or delayed computer or mobile transmissions which may limit one’s ability to participate in the Program; (c) errors in the administration of the Program or the processing, fulfillment or redemption of requests, the Rewards or any Promo Codes; (d) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Program or receipt or use of any Rewards or any Promo Codes; or (e) a restaurant or franchisee’s non-participation in this Program or failure to redeem the Rewards for whatever reason. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Program and in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct or indirect damages.
WITHOUT LIMITING THE FOREGOING, AND TO THE FULLEST EXTENT PERMITTED BY LAW, EVERYTHING ON THE APP IS PROVIDED “AS IS” WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
INDEMNIFICATION: You agree to indemnify, defend and hold Sponsor and the Released Parties harmless from and against any and all claims, demands, liabilities, costs or expenses, including attorney’s fees and costs, arising from, or related to any breach by you of any of these Terms and Conditions or any violation by you of any applicable laws, rules or regulations.
Governing Law/ Jurisdiction: These Terms and Conditions and/or your access to or participation in the Program are governed by the laws of the state of Michigan without regard to conflict of laws rules. If the Arbitration Agreement is ever deemed unenforceable or void, or a dispute between the parties is not subject to arbitration, you irrevocably consent to the exclusive jurisdiction of the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Wayne County, Michigan.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, your rights and obligations or the rights and obligations of the Sponsor in connection with the Program, shall be governed by and construed in accordance with, the laws of Michigan, without giving effect to any choice of law or conflict of law rules (whether of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Michigan.
CLASS ACTION WAIVER: YOU AND SPONSOR EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION. YOU AND SPONSOR AGREE TO WAIVE ANY RIGHT TO BRING OR TO PARTICIPATE IN SUCH AN ACTION IN ARBITRATION OR IN COURT TO THE FULLEST EXTENT ALLOWABLE BY APPLICABLE LAW.NOTWITHSTANDING THE FOREGOING, THE PARTIES RETAIN THE RIGHT TO PARTICIPATE IN A CLASS-WIDE SETTLEMENT.
